1. Agreement

This End User License Agreement (“Agreement”) is a legally binding agreement between you (“Customer”, “you”) and x2x eCommerce Inc. (“x2x”, “we”, “us”) governing your use of x2x RMH for QuickBooks (the “Software”).

The Software integrates Retail Management Hero (RMH / RMH Central) with QuickBooks Online.

By installing, connecting, or using the Software, you agree to be bound by this Agreement.
If you do not agree, do not install or use the Software.


2. License Grant

Subject to this Agreement and an active subscription, x2x grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business operations, including:

  • Integrating RMH and/or RMH Central with QuickBooks Online
  • Synchronizing customers, vendors, inventory, and general ledger data
  • Using scheduling, API connectivity, posting, and account-mapping features

You may not:

  • Reverse engineer, decompile, or modify the Software
  • Resell, sublicense, or distribute the Software
  • Use the Software to provide services to third parties without written authorization
  • Use the Software outside your licensed RMH and QuickBooks environments

The Software is licensed, not sold.


3. Ownership and Intellectual Property

All intellectual property rights in the Software, including APIs, scheduling logic, data structures, workflows, and underlying code, are owned exclusively by x2x.

You retain ownership of your business and accounting data.
x2x retains ownership of the systems and logic that process and transfer that data.


4. Operational Acknowledgements (Important)

You acknowledge and agree that:

  • RMH transactions are transferred to QuickBooks as unposted general ledger entries
  • You are responsible for reviewing, validating, and posting transactions in QuickBooks
  • Errors may occur due to configuration, account mapping, tax setup, inventory setup, API limits, or data inconsistencies
  • The Software does not replace accounting controls, internal review, or professional judgment

Your business remains solely responsible for financial accuracy and compliance.


5. No Guarantee of Financial Accuracy

The Software automates data movement, not accounting decisions.

x2x does not guarantee that:

  • RMH balances will always match QuickBooks balances
  • Inventory, cost of goods sold (COGS), or tax calculations will be correct
  • Failed, locked, or incomplete batches will post automatically

You are responsible for regularly reviewing posted, unposted, and failed transactions.


6. API, Scheduler, and Third-Party Dependencies

The Software depends on third-party systems, including:

  • QuickBooks Online APIs (Intuit)
  • RMH / RMH Central APIs
  • Internet connectivity and Windows or server services

x2x is not responsible for interruptions, delays, data issues, or failures caused by third-party services, API limitations, outages, or platform changes.


7. Customer Responsibilities

You are responsible for:

  • Maintaining valid RMH and QuickBooks licenses
  • Maintaining backups of your accounting and POS data
  • Correct account mapping, opening balances, posting dates, and configuration
  • Monitoring logs, errors, and posting status

x2x does not act as a data custodian or accounting service provider.


8. Termination

x2x may suspend or terminate access to the Software if:

  • You breach this Agreement
  • Your subscription expires or payment fails
  • API credentials are revoked or invalidated
  • The Software is misused or abused

Upon termination, your license to use the Software immediately ends.


9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.


10. Limitation of Liability

To the maximum extent permitted by law, x2x shall not be liable for:

  • Lost profits or revenue
  • Incorrect financial results
  • Inventory discrepancies
  • Tax or compliance issues
  • Business interruption

x2x’s total cumulative liability shall not exceed the fees paid by you to x2x during the twelve (12) months preceding the claim.


11. Governing Law

This Agreement shall be governed by applicable commercial contract principles, without regard to conflict-of-law rules.
