Terms and Conditions

Introduction
These Terms and Conditions (“Terms”) govern your access to and use of x2x SMS Connect (the
“Service”), a software extension for Microsoft Dynamics 365 Business Central, provided by
x2x eCommerce Inc. (“x2x”, “we”, “us”, or “our”).
By installing, accessing, or using the Service, you agree to be bound by these Terms.
x2x is not affiliated with, endorsed by, or sponsored by Microsoft Corporation
Scope of Service
The Service enables transactional SMS notifications generated from events within Microsoft
Dynamics 365 Business Central, including but not limited to:
- Customer balance due reminders
- The Service is intended solely for operational, transaction-related communications.
- Marketing, promotional, advertising, or campaign messaging is not supported.
- Order acknowledgements
- Shipment and delivery notifications
- Post-delivery confirmation messages
- Invoice notifications
- Payment confirmations
- Single-invoice payment reminders
Customer Control and Authorization
You are solely responsible for determining which customers receive SMS notifications. SMS
functionality is configured and controlled by you within Microsoft Dynamics 365 Business
Central, including the ability to enable or disable SMS messaging on a per-customer and permodule basis.
The Service does not provide end-recipient keyword-based opt-out functionality (e.g., “Reply
STOP”). Customer notification preferences are managed through your business processes and
customer records in Business Central
Regulatory Compliance and A2P/10DLC
SMS and telecommunications laws and carrier policies vary by jurisdiction. You are solely
responsible for complying with all applicable requirements, including but not limited to:
- A2P / 10DLC registration, campaign approval, and sender identity validation, where
- applicable
- Any required A2P/10DLC registration and ongoing compliance is the responsibility of you
- and/or your chosen SMS service provider. x2x does not provide legal advice and does not
- guarantee regulatory compliance.
- Customer authorization and consent requirements
- Carrier policies and messaging program rules
Third-Party Services and Delivery Disclaimer
The Service relies on third-party SMS platforms and telecommunications carriers, including but
not limited to Twilio and North Horizon. x2x does not operate or control these services.
x2x is not responsible for:
Third-party outages, policy changes, or pricing changes
- Message delivery delays or failures
- Carrier filtering, blocking, throttling, or rate limiting
- SMS delivery is not guaranteed.
Fees and Billing
If applicable, fees for the Service are billed through x2x-approved channels. Failure to pay
applicable fees may result in suspension or termination of access to the Service.
Service Availability and Changes
x2x may update, modify, suspend, or discontinue the Service or any feature at any time.
Temporary interruptions may occur due to maintenance, updates, or third-party dependencies
Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “AS IS” and “AS
AVAILABLE”, without warranties of any kind, whether express, implied, or statutory,
including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
Limitation of Liability
To the maximum extent permitted by law, x2x shall not be liable for any indirect, incidental,
consequential, special, or punitive damages, including loss of profits, revenue, data, or business
interruption.
x2x’s total cumulative liability arising out of or related to the Service shall not exceed the total
fees paid by you for the Service during the twelve (12) months preceding the event giving rise to
the claim
Indemnification
You agree to indemnify, defend, and hold harmless x2x from and against any claims, damages,
liabilities, losses, and expenses arising out of or related to:
- Your SMS messaging practices and message content
- Your failure to obtain appropriate customer authorization
- Your failure to comply with applicable laws, regulations, or carrier requirements
(including A2P/10DLC) - Your misuse of the Service
Termination
x2x may suspend or terminate your access to the Service if you violate these Terms or if required
by law or third-party providers. Upon termination, your right to use the Service will cease
General
These Terms constitute the entire agreement regarding the Service and supersede any prior
agreements or understandings. If any provision is held unenforceable, the remaining provisions
will remain in full force and effect
Privacy Policy
x2x eCommerce respects Your privacy and is committed to protecting personal
information.
Information Collected
We may collect:
- Business contact information
- Subscription and licensing data
- Technical configuration and usage metadata
We do not sell personal data.
Information Collected
Information is used to:
- Provide licensing, authentication, and support services
- Maintain and improve the Software
- Comply with legal obligations
Data Sharing
Information may be shared with:
- SMS service providers solely for message delivery
- Payment processors for billing
- Legal authorities when required by law
Data Security
We implement reasonable administrative and technical safeguards. However, no system is
completely secure.
Data Retention
Data is retained only for as long as necessary to fulfill operational, contractual, or legal
requirements.
International Use
The Software is offered globally. By using the Software, You acknowledge that data may be
processed in jurisdictions outside Your own.
Your Rights
Depending on Your jurisdiction, You may have rights to access, correct, or delete personal
information.
